These Terms and Conditions (“Terms,” “Agreement”) govern your access to and use of the AriHub website (the “Website”) and all products, services, and content offered by AriHub (“we,” “our,” “us”) including SEO, content writing, website design and development, digital marketing, e-commerce, and creative production services.

By using AriHub or purchasing any service, you agree to be bound by these Terms. If you do not agree, you may not access or use our Website or Services.

“Client,” “User,” “You,” or “Your” means any individual or business entity accessing or using our Website or Services.
“Services” means all digital marketing, SEO, design, content, and related professional solutions provided by AriHub.
“Deliverables” refer to the completed work products or materials created by AriHub for the Client under a project agreement.
“Agreement” refers to these Terms along with any proposals, quotations, statements of work, or invoices mutually accepted by both parties.

2. Acceptance of Terms

By accessing or using our Website or Services, you:

Confirm that you have read and understood these Terms.
Represent that you are at least 18 years old or have reached the age of majority in your jurisdiction.
Have the legal capacity to enter into this Agreement.

If you are acting on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Scope of Services

AriHub provides a full spectrum of digital-growth services, including but not limited to:

Search Engine Optimization (SEO) – On-page, off-page, and technical optimization.
Content Writing & Management – SEO-optimized articles, blogs, and web copy.
Website Design & Development – Custom, responsive, and CMS-based websites.
Digital Marketing & Advertising – Social media, Google Ads, and performance marketing.
E-Commerce Solutions – Shopify, WooCommerce, and store optimization.
Creative Studio Production – Animation, illustration, video editing, and multimedia content.
Consulting & Strategy Services – Brand identity, keyword strategy, and analytics.

Each project is delivered according to a mutually agreed-upon written proposal outlining the scope, timeline, deliverables, and payment schedule.

4. Use of the Website

You agree to use our Website lawfully and ethically.
You must not:

Upload or transmit viruses, malware, or malicious code.
Attempt to gain unauthorized access to our servers or databases.
Copy, distribute, or exploit any Website content without written consent.
Misrepresent your identity or affiliation with any entity.
Use the Website for fraudulent, defamatory, or misleading activities.

AriHub reserves the right to suspend or terminate access to any user found engaging in misuse or illegal activity.

5. Project Engagement

All services begin only after a formal agreement or invoice has been accepted and initial payment (if applicable) has been received.
The Client must provide all required materials (e.g., text, brand guidelines, images, hosting credentials) in a timely manner.
Delays in providing assets may extend project timelines.

Revisions must be requested within the revision limit specified in your service package or proposal. Additional revisions may incur extra charges.

6. Pricing, Payments, and Invoices

Payment Terms: Payment methods, milestones, and due dates are stated in each proposal or invoice.
Accepted Methods: Bank transfer, PayPal, or other approved electronic payment options.
Non-Refundable Services: Once work has commenced or deliverables have been provided, payments become non-refundable.
Late Payments: Invoices not paid within 7 days of the due date may result in suspension of ongoing work. Late fees of 2% per month may apply.
Subscription Plans: For recurring SEO or content services, billing continues automatically until canceled with at least 7 days’ notice.
Currency: All prices are listed in USD unless otherwise specified.

7. Refund and Cancellation Policy

AriHub strives for client satisfaction but does not issue refunds for:

Completed deliverables or partially completed work once initiated.
Delays caused by client inaction or lack of feedback.
Change of business direction or decision to discontinue services.

Refunds may be granted only when:

AriHub fails to deliver the agreed-upon scope of work.
Both parties mutually agree to terminate the project before production begins.

8. Intellectual Property

AriHub Ownership: All materials, methods, frameworks, and tools created by AriHub before or during the project remain the intellectual property of AriHub.
Client Ownership: Upon full payment, ownership of final approved deliverables transfers to the Client, except for third-party components, stock assets, or proprietary code used under license.
Portfolio Rights: AriHub reserves the right to display completed projects, screenshots, or mock-ups in its portfolio, case studies, or marketing materials, unless explicitly prohibited by the Client in writing.

9. Confidentiality

Both parties agree to treat all non-public project information as confidential.
AriHub will not disclose Client data, trade secrets, or project details to third parties except:

When required by law, or
With Client’s written consent.

All employees and subcontractors of AriHub are bound by confidentiality agreements.

10. Third-Party Tools and Integrations

AriHub may use third-party services or APIs (e.g., Google Analytics, WordPress plugins, Shopify apps) to complete projects.
We do not warrant the availability, performance, or reliability of such tools.
Clients are responsible for reviewing and complying with any applicable third-party terms of use.

11. Privacy Policy

Your use of our Website and Services is also governed by our Privacy Policy, available at https://www.arihub.com/privacy-policy.
By using AriHub, you consent to the collection and use of information as described therein.

12. Content Standards

Clients are solely responsible for ensuring that any material they provide:

Is original or properly licensed.
Does not infringe upon intellectual property or privacy rights.
Does not contain defamatory, obscene, or illegal content.

AriHub reserves the right to refuse or remove content that violates these standards.

13. Limitation of Liability

To the fullest extent permitted by law:

AriHub shall not be liable for indirect, incidental, or consequential damages (including loss of profits, revenue, or data) arising from the use or inability to use our Website or Services.
Our total cumulative liability for any claim will not exceed the total fees paid by the Client for the specific project within the preceding 12 months.
AriHub is not responsible for losses caused by:
- Website downtime due to hosting or server issues.
- SEO ranking fluctuations resulting from algorithm changes.
- Unauthorized access to Client systems caused by third parties.
- Errors in third-party code or plugins.

14. Disclaimer of Warranties

All services and Website content are provided on an “as is” and “as available” basis.
AriHub does not guarantee:

Uninterrupted or error-free operation.
Specific ranking results or revenue outcomes.
The absence of malware or technical issues in third-party integrations.

You use our Website and Services at your own risk.

15. Revisions and Maintenance

Revisions included in service packages are limited to the number specified. Major design or strategy changes beyond the original scope may incur additional charges.
Maintenance, updates, or technical support after project completion are available as separate subscription services.

16. Suspension or Termination

AriHub may suspend or terminate services without prior notice if:

The Client breaches these Terms or any project agreement.
Payments are overdue beyond 14 days.
Content provided violates copyright or applicable laws.

Upon termination, all outstanding payments become immediately due.
Client access to deliverables may be restricted until full payment is received.

17. User-Generated Content

If you submit testimonials, reviews, or comments to AriHub, you grant us a perpetual, non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content for marketing purposes.
You warrant that such content is truthful and does not violate the rights of others.

18. Advertising and Promotions

AriHub may publish case studies or success stories referencing your brand name, project type, and measurable results. Sensitive business data will not be disclosed without prior consent.
Promotional collaborations or affiliate arrangements require separate written approval.

19. Links to Third-Party Sites

Our Website may contain links to external sites or embedded content (e.g., YouTube videos, Google Maps).
These links are provided for convenience only.
AriHub does not endorse or control the content, privacy practices, or reliability of third-party sites.

20. Client Responsibilities

You agree to:

Provide accurate project information and materials promptly.
Review and approve deliverables in a timely manner.
Comply with applicable laws and intellectual-property regulations.
Maintain backups of all website or marketing assets after delivery.

AriHub is not responsible for any data loss caused by client negligence, hosting provider issues, or third-party actions.

21. Communication and Support

Official communication is conducted via hello@arihub.com or through our Contact Page.
Project updates are shared via email, project-management tools, or scheduled calls.
Our standard business hours are Monday – Friday, 9 AM to 6 PM (GMT +1).

22. Modifications to the Website or Services

We reserve the right to update, enhance, or discontinue any feature of our Website or Services at any time, with or without notice.
Continued use after such modifications constitutes acceptance of the updated Terms.

23. Indemnification

You agree to indemnify and hold harmless AriHub, its directors, employees, partners, and affiliates from any claim, loss, or expense (including attorney’s fees) arising out of:

Your violation of these Terms or applicable law.
Content or materials provided by you.
Your misuse of our Services.

24. Non-Solicitation of Employees

During and for 12 months following your engagement with AriHub, you agree not to solicit or hire any AriHub employees, contractors, or freelancers directly involved in your project without prior written consent.

25. Force Majeure

AriHub shall not be liable for any delay or failure to perform obligations caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, wars, strikes, power outages, or internet failures.

26. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Norway, without regard to conflict-of-law principles.
Any dispute shall be resolved exclusively in the competent courts of Akershus County, Norway.

27. Dispute Resolution

Before filing any formal action, both parties agree to attempt good-faith negotiation or mediation.
If unresolved, disputes may be referred to binding arbitration under the Norwegian Arbitration Act.
Each party bears its own legal costs unless otherwise determined.

28. Entire Agreement

This Agreement, together with any accepted proposal, invoice, or policy referenced herein (including the Privacy Policy), constitutes the entire understanding between AriHub and the Client, superseding all prior communications or representations.

29. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid term shall be replaced by a lawful one that most closely reflects the parties’ intent.

30. Waiver

No failure or delay by AriHub in exercising any right under this Agreement shall constitute a waiver of such right. Any waiver must be in writing and signed by an authorized representative.

31. Assignment

Clients may not assign, transfer, or sublicense any rights or obligations under these Terms without prior written consent. AriHub may assign its rights and obligations to any affiliate or successor entity.

32. Updates to These Terms

AriHub may revise these Terms at any time.
The most recent version will always be posted at https://www.arihub.com/terms-and-conditions.
Significant changes will be communicated via email or Website notice.
Your continued use of our Services after revisions take effect signifies acceptance of the new Terms.
